1. Introduction
These Terms and Conditions govern the sale of products and the provision of services by Neloz Distribution, a division of Neloz Limited. By placing an order with Neloz Distribution, you agree to be bound by these terms. Please read them carefully before placing any order.

2. Definitions
“Buyer” means the individual, company or entity purchasing products from Neloz Distribution. “Seller” or “Neloz” refers to Neloz Distribution/Neloz Limited. “Goods” refers to the products supplied under these terms which include garments, bags, footwear and home textiles.

Orders and Acceptance
All orders are subject to acceptance by Neloz Distribution. Acceptance is only effective when the Buyer receives written confirmation from Neloz Distribution. Quotations provided are indicative and valid for the period stated within the quotation. Neloz reserves the right to decline orders at its discretion.

4. Minimum Order Quantity (MOQ)
The Buyer agrees to comply with the MOQ requirement (typically 1000 pieces per SKU) unless otherwise specified in a separate written agreement. MOQs assist in efficient production and price stability.

5. Pricing and Payment
Prices quoted exclude applicable taxes, duties and shipping costs unless expressly stated. Payment terms will be specified in the quotation. Neloz may require advance payment, deposits, or staged payments based on order value and Buyer profile. Late payments may attract interest or lead to order suspension.

Delivery and Lead Times
Lead times quoted are estimates based on standard production schedules. Neloz will endeavour to meet delivery dates but shall not be liable for delays caused by third-party logistics providers, customs, force majeure events, or delays in receiving Buyer-supplied materials or approvals.

7. Inspection and Quality Assurance
Buyers should inspect goods upon receipt. Any claim for shortages, defects or non-conformance must be notified to Neloz within seven (7) days of delivery with supporting evidence. Neloz reserves the right to investigate and, if necessary, arrange for replacement or credit in accordance with the Returns & Refunds policy.

8. Intellectual Property
All intellectual property rights, trademarks, designs and brand assets remain the property of Neloz Limited. Buyers are prohibited from reproducing, altering, or using Neloz intellectual property without prior written consent.

9. Limitation of Liability
To the fullest extent permitted by law, Neloz’s liability for any claims arising out of or in connection with the sale of goods is limited to the value of the relevant order. Neloz shall not be liable for indirect or consequential losses.

10. Governing Law and Jurisdiction
These terms are governed by the laws of India and the courts of Delhi shall have exclusive jurisdiction over disputes arising under these Terms and Conditions.

11. Amendments
Neloz may amend these Terms and Conditions from time to time. Any changes will be posted on the website and will apply from the date of posting unless otherwise stated.
